    American Realty Capital Properties Inc (ARCP) announced early on Monday that it has signed an amendment to the previously announced merger agreement with American Realty Capital Trust IV, Inc. The companies noted that the amendment was made due to challenges that emerged in capital markets that impacted the original agreement. Still, the deal is expected to be completed in the fourth quarter of 2013. According to the press release, the amended terms of the deal are as followed:
    ARCP will now acquire all of the outstanding shares of ARCT IV, in a transaction valued at $3.0 billion, for per share consideration of: (1) $9.00 in cash (representing 30% of the total nominal consideration); (2) 0.5190 shares of ARCP common stock (valued at $6.59 using the latest ARCP closing price of $12.70 from October 4, 2013, and representing 22% of the total nominal consideration); and (3) 0.5937 shares of ARCP perpetual preferred securities (valued at $14.84 based on a liquidation preference of $25.00 per share of perpetual preferred stock and representing 48% of the total nominal consideration), for a fixed nominal consideration, as of October 4, 2013, of $30.43. ARCP would be issuing 36.9 million shares of common stock and 42.2 million shares of perpetual preferred securities.
    American Realty Capital Properties shares were inactive during pre-market trading on Monday. The stock is down 4.08% year-to-date.

  • American Realty Capital Properties to Buy ARCT IV in a $3.1 Billion Cash-and-Stock Deal (ARCP)

    Real estate investment trust American Realty Capital Properties Inc (ARCP) announced early on Tuesday that it is buying American Realty Capital Trust IV Inc. in a cash-and-stock deal worth about $3.1 billion. This deal, along with previous transactions, will make ARCP the second-largest net lease REIT. Once the deal closes, ARCP will own 2,579 single tenant properties in 48 states and Puerto Rico. The boards of directors of both companies have approved the deal, but it still needs the approval from the companies' shareholders. The deal is expected to close by the end of third quarter of 2013. This deal is just the latest in a number of acquisitions made by ARCP. Last month, the New York-based REIT agreed to buy 471 properties from GE Capital, worth about $807 million, which are mostly leased to operators of restaurants like IHOP, Burger King and Wendy's. Furthermore, in May the company said that it planned to buy CapLease, another REIT, in a deal valued at about $2.2 billion. Due to the recent transactions, ARCP is raising its 2014 adjusted funds from operations expectations to a range between $1.19 and $1.25 per share. Previously the company had projected FFO of 93 cents per share in 2014. American Realty Capital shares were up 49 cents, or 3.31%, during pre-market trading on Tuesday. The stock is up 11.78% year-to-date.
