American Realty Capital Properties to Buy ARCT IV in a $3.1 Billion Cash-and-Stock Deal (ARCP)Jul 2, 2013Real estate investment trust American Realty Capital Properties Inc (ARCP) announced early on Tuesday that it is buying American Realty Capital Trust IV Inc. in a cash-and-stock deal worth about $3.1 billion. This deal, along with previous transactions, will make ARCP the second-largest net lease REIT. Once the deal closes, ARCP will own 2,579 single tenant properties in 48 states and Puerto Rico. The boards of directors of both companies have approved the deal, but it still needs the approval from the companies' shareholders. The deal is expected to close by the end of third quarter of 2013. This deal is just the latest in a number of acquisitions made by ARCP. Last month, the New York-based REIT agreed to buy 471 properties from GE Capital, worth about $807 million, which are mostly leased to operators of restaurants like IHOP, Burger King and Wendy's. Furthermore, in May the company said that it planned to buy CapLease, another REIT, in a deal valued at about $2.2 billion. Due to the recent transactions, ARCP is raising its 2014 adjusted funds from operations expectations to a range between $1.19 and $1.25 per share. Previously the company had projected FFO of 93 cents per share in 2014. American Realty Capital shares were up 49 cents, or 3.31%, during pre-market trading on Tuesday. The stock is up 11.78% year-to-date.
