  • NYSE Euronext and IntercontinentalExchange Set November 4 Closing Date for Merger (NYX)

    NYSE Euronext (NYX) announced early on Thursday that it has set a November 4 closing date for its pending acquisition by IntercontinentalExchange (ICE) . This established November 4 closing date is still subject to a number of European regulatory approvals. If these necessary approvals remain outstanding by November 4, the closing date will extend to a further date. The two companies have also set a NYSE Euronext shareholder election deadline of 5:00 pm EST on October 31, 2013. This election is intended to allow shareholders to decide whether they receive stock and/or cash considerations in the merger. Shareholders of NYSE Euronext who hold shares through a financial intermediary such as a bank, broker, trust company or other nominee may have an earlier election deadline and should carefully review any instructions received from their bank, broker, trust company or other nominee in order to comply with any earlier deadline. NYSE Euronext shares were inactive during pre-market trading on Thursday. The stock is up 37.51% year-to-date.

  • NYSE Euronext Reports Higher Earnings; Beats Q2 Estimates (NYX)

    Operator of financial markets NYSE Euronext (NYX) reported higher second quarter earnings on Tuesday, primarily due to cost cuts. The New York, NY-based company posted second quarter earnings of $173 million, or 71 cents per share, up from $125 million, or 49 cents per share a year ago. Excluding special items related to merger expenses, earnings were $153 million, or 63 cents per share. Analysts expected to see earnings of 58 cents per share. Revenue for the quarter rose to $611 million, from $602 million a year ago. Analysts expected to see revenue of $601.48 million. NYX will bought for $8.2 billion by IntercontinentalExchange. The company has declared a 30 cent per share dividend provided that the deal is not finalized by September 16. NYSE Euronext shares were mostly flat during pre-market trading Tuesday.     NYSE Euronext (NYX) announced that it has called off its plans to sell its stake in Multi Commodity Exchange of India Ltd. The operator of stock and derivatives market wanted to sell its stake in India's largest commodity exchange in hopes of raising about $45 million. NYSE Euronext was looking to sell its shares at the upper end of 1,005.10-1,026.25 rupees per share, but were unable to find willing buyers at that price. The company had originally purchased its stakes in hopes of building closer ties with India. NYSE Euronext shares were down in early trading on Thursday. The stock has gained about 20% year-to-date.   • ICE to Acquire NYSE Euronext for $8.2 Billion; NYX Shares Soar (NYX)

    Shares of stock exchange operator NYSE Euronext (NYX) surged higher in premarket trading Thursday, following overnight reports that futures exchange operator Intercontinental Exchange (ICE) was looking to acquire NYX. Reports peg the asking price at around $33 per share, which represents a 37% upside to the stock's Wednesday closing price of $24.05. Word hasn't yet broken on how ICE would fund the approximately $8 billion deal. The Wall Street Journal originally reported that talks were progressing quickly, while Reuters broke the approximate price of the acquisition. UPDATE: (8:31am EST) The companies confirm the deal is worth $33.12 per share, for a total of $8.2 billion. NYSE Euronext shares rose $5.15, or +21%, in premarket trading Thursday.
